Terms of Service

1. Agreement to These Terms

These Terms of Service (the “Terms”) form a binding agreement between you and Tutor Slate (“Tutor Slate,” “we,” “us,” or “our”) and govern your access to and use of our tutoring-management platform, websites, and related services (collectively, the “Service”). By creating an account, clicking to accept, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business, school, or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

2. The Service

The Service helps tutoring businesses and educators manage students and families, schedule lessons, track attendance, communicate with contacts, and handle invoicing and payments. We may add, change, or remove features over time. We continually improve the Service and may update functionality at our discretion.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to create an account. The Service is intended for use by tutoring professionals and administrators — not by students who are minors.

You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You may invite additional users to your workspace; you remain responsible for their compliance with these Terms.

Each login is personal to one individual. Every person who uses the Service must have their own account, and login credentials may not be shared; the number of users you may add depends on your plan. Accounts must be registered by a person — automated or bot-created accounts are not permitted.

4. Subscriptions, Fees, and Billing

Paid plans are billed in advance on a recurring basis (for example, monthly or annually) and renew automatically until cancelled. By providing a payment method, you authorize us and our payment processors to charge the applicable fees, including taxes, to that method.

You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period. You are responsible for cancelling — a support request on its own is not a cancellation. Except where required by law, fees are non-refundable and partial periods are not prorated. We may change our prices on prospective notice; continued use after a price change constitutes acceptance.

If you switch to a lower plan, some features, capacity, or data may become unavailable as a result of the change. You are responsible for confirming that a plan meets your needs before downgrading, and we are not liable for any loss arising from a downgrade.

5. Your Data and the People You Manage

You retain all rights to the data you and your users submit to the Service, including records about students, families, and contacts (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service.

Because Customer Data may include information about minors, you are responsible for providing all required notices and for obtaining any consents needed (including from parents or guardians) to collect that information and have us process it on your behalf. You are responsible for the accuracy and lawfulness of the Customer Data you submit. Our handling of personal data is described in our Privacy Policy.

6. Acceptable Use

You agree not to, and not to permit anyone to:

  • use the Service for any unlawful, harmful, or fraudulent purpose;
  • upload malware, attempt to gain unauthorized access, or interfere with the integrity or performance of the Service;
  • reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law;
  • access the Service through automated means — such as bots, scrapers, or crawlers — or harvest data from it, except via features or interfaces we provide for that purpose;
  • harass, threaten, or abuse our staff or other users, whether verbally, in writing, or otherwise;
  • send unsolicited communications or use contact data for purposes unrelated to your tutoring business; or
  • infringe the intellectual property or privacy rights of others.

We do not routinely monitor or pre-screen the content stored or sent through the Service, but we may review it and may remove content, or suspend or terminate accounts, that we reasonably believe violate these Terms or applicable law. Abuse of our staff is grounds for immediate termination.

7. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by Tutor Slate and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

8. Feedback

If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it to improve the Service without obligation or compensation to you.

9. Third-Party Services

The Service integrates with third-party services such as payment processors and authentication providers. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Enabling a third-party integration may require sharing certain data with that provider.

10. Term, Suspension, and Termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or to protect the Service or other users.

After termination, we may delete Customer Data in accordance with our standard retention practices. Where feasible, we will provide a reasonable opportunity to export your Customer Data before deletion.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Tutor Slate will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim.

13. Indemnification

You will defend, indemnify, and hold harmless Tutor Slate from and against claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Delaware, and you consent to their jurisdiction, except where prohibited by applicable law.

16. Miscellaneous

These Terms, together with any policies referenced here, constitute the entire agreement between you and Tutor Slate regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
